These Terms of Service (“Terms”) govern your access to and use of the SmartBid website, products, and services (collectively, the “Service”), which are operated by algoMosaic LLC (“algoMosaic,” “SmartBid,” “Company,” “we,” “our,” or “us”). By accessing or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you meet this requirement.
2. Description of Service
SmartBid provides software tools designed to help users discover job opportunities, generate application materials, and analyze freelance market opportunities.
We do not provide employment, recruiting, or brokerage services.
3. User Accounts
You agree to:
Provide accurate and complete information
Maintain the security of your account credentials
Be responsible for all activity under your account
We may suspend or terminate accounts at our sole discretion.
4. Acceptable Use
You may not use the Service to violate any law or third-party right; submit false, misleading, or fraudulent information; impersonate another person or organization; interfere with, probe, disrupt, or bypass the security, integrity, or operation of the Service; reverse engineer, scrape, harvest, or use automated means to access the Service except as expressly permitted by us; upload malware or harmful code; use the Service to spam, harass, discriminate against, or defraud others; or use Service outputs in a way that violates the rules of a third-party platform. We may investigate suspected misuse and suspend or restrict access as reasonably necessary to protect the Service, our users, or others.
5. Third-Party Platforms
The Service may integrate with or reference third-party platforms (including freelance marketplaces).
We are not affiliated with, endorsed by, or responsible for these platforms.
You are solely responsible for complying with their terms, policies, and rules. We are not liable for any account suspension, penalties, or losses resulting from your use of third-party platforms.
6. AI-Generated Content Disclaimer
The Service may generate content using artificial intelligence.
You acknowledge that:
AI-generated outputs may be inaccurate, incomplete, or inappropriate
You are solely responsible for reviewing and validating all outputs before use
We do not guarantee the effectiveness, legality, or suitability of generated content
Use of AI-generated content is at your own risk.
7. Payments, Subscriptions, and Billing
Paid subscriptions begin with a 14-day free trial unless otherwise stated at sign-up. You will not be charged during the trial. Your first subscription charge will occur immediately after the 14-day trial ends, unless you cancel before the trial period ends. You may cancel your trial or subscription through your account settings before the next billing date; cancellation prevents future charges, but does not entitle you to a refund for amounts already paid except where required by law. Subscription fees are billed in advance on a recurring basis and may change only with prior notice as required by applicable law.
8. Fair Use and Usage Limits
The Starter plan includes up to 30 uses per calendar month. A use includes each completed generation, analysis, or other metered action identified in the Service. Pro plan usage is not subject to a fixed monthly numerical limit, but remains subject to reasonable abuse controls, including protections against automated, excessive, fraudulent, or service-degrading activity. We may apply reasonable rate limits, throttle usage, or contact you to discuss an appropriate plan where use materially exceeds normal individual use.
9. Intellectual Property
All rights, title, and interest in the Service remain with SmartBid.
You retain ownership of your submitted content, but grant us a non-exclusive, worldwide, royalty-free license to use, process, and store such content for the purpose of providing and improving the Service.
10. Beta Features
We may offer features labeled as “beta”, “experimental”, or similar.
These features:
May be incomplete or unstable
Are provided without warranties of any kind
May be modified or discontinued at any time
11. Privacy
Your use of the Service is governed by our Privacy Policy.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
WE DISCLAIM ALL WARRANTIES, INCLUDING:
MERCHANTABILITY
FITNESS FOR A PARTICULAR PURPOSE
NON-INFRINGEMENT
We do not guarantee:
Job offers, client responses, or earnings
Accuracy or reliability of outputs
Continuous or error-free operation
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM
14. Indemnification
You agree to indemnify and hold harmless SmartBid from any claims, damages, or expenses arising out of:
Your use of the Service
Your violation of these Terms
Your violation of third-party rights or platform rules
15. Arbitration and Dispute Resolution
Before starting arbitration, either party must send the other written notice of the dispute and allow 30 days to attempt an informal resolution. If not resolved, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will take place in Delaware, United States, or remotely where the applicable rules permit, and Delaware law will govern these Terms except where federal law or mandatory consumer-protection law applies. You may opt out of this arbitration agreement by sending written notice to legal@getsmartbid.com within 30 days after first accepting these Terms; your notice must include your name, account email address, and a clear statement that you wish to opt out. Either party may bring an eligible claim in small claims court. You and algoMosaic waive the right to a jury trial and to participate in a class, consolidated, or representative action to the fullest extent permitted by law.
16. Termination
You may stop using the Service or cancel your account at any time. We may suspend or terminate access for a material violation of these Terms, unlawful or harmful conduct, nonpayment, or where reasonably necessary to protect the Service or others. Before termination where reasonably practicable, we will provide notice and a reasonable opportunity to export your user content. After termination, access to the Service will end; we may delete user content after a reasonable retention period, subject to applicable law, our privacy practices, and any legal or security obligations.
17. Changes to Terms
We may update these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
18. Governing Law
These Terms shall be governed by the laws of Delaware, without regard to conflict of law principles.
